- Introduction
After years of struggle the great step is taken by Ethiopia in the economic development of the country. The new proclamation promotes ideal innovators having the knowledge and energy to introduce new ideas or technologies, transplanting innovative experiences of some other countries or creating brand new innovations that make a deference in the day-to-day life of the society and the country at large.
This legal update explains how Startup companies and business organisations get their financial supports and other grants provided by the government and their interaction with Ecosystem builders. In time of failure to comply with the terms and conditions stated on the proclamation how these rights can be taken away by the way of suspension and revocation.
- Definitions
Startups means a person that is engaged in the creation of economic value through the introduction, adoption, transplantation, or reverse engineering of a tech or tech-enabled, innovative, scalable, and disruptive product(s), service(s), or process(es) with no or limited operating history.
Startup Ecosystem Builder is a person that actively contributes to the establishment, development, and sustainability of Startup.
- The Startups
- Who is eligible
The proclamation works for Startups and Ecosystem Builders having a lifespan from 0-5 years and at least twenty five percent (25%) of its capital own by the founder and as to the individual not legally registered as a corporate entity.
- Commencement Date of Benefit
The Startups benefits will commence after the person receive Startups Designation. This is the recognition of the Ministry of Technology and Innovation to their eligibility for the Startup incentives.
The registration for Startups Designation will be conducted online through the Digital Startups portal issued by the Ministry of Technology and Innovation.
- Types of Incentives
- Grants: it is provided in order to cover costs associated with the establishment, implementation, development, and operation of the Designated Startups.
- The National Credit Scheme or Guarantee Scheme: consist of the initial investment amount allocated from the Government, income generated from the proceeds of the Guarantee Scheme, income from investments generated by the Guarantee Scheme, and grants, donations, or any kind of contributions made by development partners. The main character on this is that all the credits taken needs to be paid according to the terms and conditions of the loan agreement.
- Tax Incentive: every Designated Startups are beneficiary of this tax incentive for up to five (5) years which includes exemption form income tax, dividend shareholders income tax, and withholding tax.
- Foreign Nationals: who are employed by a Designated Startups are exempted from employment income tax for five (5) consecutive years before the expiration of the Designation period.
- Loss Carry Forward: Startups in time of loss occurred within the time of income tax exemption the Designated Startups can forward the amount of loss to the following year and the loss will be deducted from the taxable income. It will only be done for two (2) years.
- Duty Free Privilege: Designated Startups who wanted to start or have an already established Startups business operating based on imported goods or Designated Startups Ecosystem Builder for the establishment of a new facility or the expansion or upgrading of an existing facility are eligible from the date of Designation up to four (4) years after submitting the list of capital goods to be imported duty-free and get approval from the Ministry of Finance.
- The minimum capital requirement stipulated under Article (9) of the Investment Proclamation No. 1180/2020 will not be applicable on Foreign Startups and Foreign Startups Ecosystem Builders who establish or invest on Startups in Ethiopia.
- Duration of Benefit Entitlement
The Startup Designation will be valid for two (2) years and a renewal must be conducted within thirty (30) days before the expiration of two (2) years. The Startup Designation will be valid for not more than eight (8) years.
- Suspension and Revocation
Failure to fulfil the obligations stated under the proclamation may result in suspension of the Startup Designation. The suspension prohibits the Startups to use incentives granted by the proclamation.
If the Startup Designation closed, merged with another company, engaged in unauthorized purpose, fails to rectify defects that resulted in the suspension, declared bankrupt, fails to have its Designation renewed, and fails to provide a renewed business license the ministry after notifying the Startup Designation will revoke the Designation within thirty (30) days.
- The Ecosystem Builder
- Who Is Eligible
In order to became a Designated Startup ecosystem builder, the builder needs to have a commercial registration, business license and/or an investment permit, physical existence, technology infrastructure, adequate financial resources, adequate equipment for innovation, mentorship and coaching programs, networking opportunities, and legal and administrative support.
The registration will be conducted through online portal of the Ministry of Technology and Innovation
- Mandate of the Builder
- They provide resources, knowledge, and support necessary to foster the creation, development, and growth of Startups
- The amount of Grants to be distributed will be made by the Designated Ecosystem builders.
- Incentives Granted to the Builder
A builder who’s invested on the designated Startup is eligible to deduct 100% from its own financial statement when loss occur to the Startup they invested on.
- Designation Duration
The Startup Ecosystem Builder Designation will be valid for five (5) years and a renewal must be conducted within thirty (30) days before the expiration of five (5) years.
- Suspension And Revocation
The Startup Ecosystem Builder Designation will be suspended by the Ministry if it fails to meet its purpose and fails to fulfil the requirements stated under the proclamation.
Revocation of the Startup Ecosystem Builder Designation will take place same as the Startup Designation. After the revocation the Startup Ecosystem Builder is required to submit a necessary exit report.
Conclusion
By recognizing and empowering both innovators and ecosystem builders, the proclamation not only promotes local ingenuity but also attracts foreign investment and talent. However, its built-in checks such as designation renewal requirements, suspension clauses, and revocation processes underscore the importance of accountability and adherence to operational standards.
Ultimately, this legal instrument creates fertile ground for bold ideas to flourish, while challenging stakeholders to remain compliant, adaptive, and strategically aligned with the nation’s innovation agenda.
